By accessing our website, requesting a demo, purchasing our services, using our software, or engaging with our support team, you agree to be bound by these Terms & Conditions.


1. Company Information

OptaPOS is a software and retail technology solution offered by Opta Soft Technologies LLC, based in Dubai, United Arab Emirates.

2. Acceptance of Terms

By using our website or services, you confirm that you have read, understood, and agreed to these terms. If you do not agree, you should not use our website or services.

3. Scope of Services

Our services may include, but are not limited to:

  • Cloud POS software
  • Retail management software modules
  • Hardware supply or hardware-related setup assistance
  • Installation, onboarding, training, and implementation support
  • Remote and on-site technical support
  • Software customization, integration, and configuration services
  • Website inquiries, demo bookings, and after-sales communication

The exact scope of work may vary depending on the quotation, agreement, subscription, package, or written communication provided to the customer.

4. Website Use

You agree to use our website only for lawful purposes. You must not:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt unauthorized access to the website, server, database, or connected systems
  • Introduce malicious software, scripts, or harmful code
  • Interfere with website performance, security, or availability
  • Copy, scrape, reproduce, or misuse website content without permission

5. Software Access and Customer Responsibilities

Customers are responsible for maintaining the confidentiality of their login credentials, account access, and internal device security.

Customers are also responsible for:

  • Providing accurate business and contact information
  • Using the software in compliance with applicable laws, tax rules, and regulations
  • Managing their internal users, permissions, and hardware environment
  • Reviewing invoices, reports, and outputs before relying on them for business decisions or regulatory submission
  • Maintaining backup procedures where applicable

6. Quotations, Orders, and Payments

All quotations, proposals, pricing, bundles, and offers are subject to change unless confirmed in writing.

Orders may require advance payment, partial payment, or full payment depending on the agreed package, hardware requirements, customization scope, or subscription plan.

Unless otherwise stated in writing:

  • Payments made for software, services, setup, customization, and implementation are non-refundable
  • Hardware items may be subject to separate warranty, supplier, or exchange terms
  • Delays in payment may affect activation, renewal, support, hosting, or continued access

7. Implementation, Setup, and Delivery

Any timelines given for setup, go-live, training, migration, or implementation are estimates unless explicitly guaranteed in writing.

Delivery times may depend on customer responsiveness, data readiness, hardware availability, third-party dependencies, internet access, approvals, and site conditions.

8. Customization and Change Requests

Customization requests, integrations, UI changes, reports, or workflow modifications may require separate approval, additional cost, revised timelines, and technical review.

Any custom work completed specifically for a customer may be governed by the agreed project scope and may not be reversible once delivered.

9. Data and Customer Content

Customers remain responsible for the data they enter, upload, import, store, or generate within the system, including products, prices, transactions, customer records, supplier records, and tax information.

Customers must ensure they have the right to use and process any personal or business data entered into the software.

10. Data Migration and Imports

Where data migration or import assistance is provided, customers are responsible for checking the final imported data and verifying accuracy. While we may assist with migration, we do not guarantee that third-party legacy data will always be complete, clean, or error-free unless explicitly agreed in writing.

11. Third-Party Services and Integrations

Our services may connect with or depend on third-party platforms, hardware brands, payment gateways, APIs, hosting services, communication tools, printers, barcode devices, or other external systems.

We are not responsible for downtime, policy changes, failures, fees, limitations, or technical issues caused by third-party providers.

12. Hardware and Peripheral Devices

Where hardware is supplied, installed, recommended, or configured, compatibility may depend on the device model, operating system, drivers, firmware, network environment, and customer usage conditions.

Hardware performance, warranty handling, and replacement availability may be subject to manufacturer or supplier policies.

13. Service Availability

We aim to provide reliable service and support, but uninterrupted access cannot be guaranteed at all times. Service may be affected by scheduled maintenance, emergency fixes, hosting issues, internet failures, hardware faults, third-party outages, or force majeure events.

14. Support Services

Support may be provided by phone, WhatsApp, email, remote access, ticketing, or on-site visit, depending on the customer’s plan, location, issue type, and support arrangement.

Some support requests, visits, after-hours work, custom training, or advanced troubleshooting may be chargeable.

15. Intellectual Property

All website content, branding, software logic, UI elements, documentation, designs, graphics, source materials, and related assets remain the property of Opta Soft Technologies LLC or its licensors unless otherwise agreed in writing.

Customers may not copy, distribute, reverse engineer, resell, republish, or exploit any part of the software or website except as permitted under a valid agreement.

16. Prohibited Use

You must not use our software or website for:

  • Fraudulent, illegal, or misleading activities
  • Tax evasion or falsification of records
  • Unauthorized resale, sublicensing, or cloning of the software
  • Attempting to bypass security, licensing, or access controls
  • Uploading malicious content or damaging data

17. Limitation of Liability

To the maximum extent permitted by law, Opta Soft Technologies LLC shall not be liable for any indirect, incidental, consequential, special, or business losses, including loss of profits, loss of sales, loss of data, downtime, reputational damage, or business interruption arising from the use of or inability to use our services.

Customers are responsible for verifying outputs, maintaining appropriate internal controls, and ensuring operational continuity for their business.

18. No Guarantee of Business Results

While our software is designed to improve efficiency and visibility, we do not guarantee any specific increase in sales, profit, compliance outcome, or business performance.

19. Suspension or Termination

We reserve the right to suspend, restrict, or terminate access to our services where necessary, including for non-payment, misuse, unlawful activity, security threats, breach of these terms, or operational reasons.

20. Privacy

Your use of our website and services is also subject to our Privacy Policy. We encourage you to read it carefully.

21. Changes to These Terms
